Referral and Rewards Policy

Effective: 01 September, 2025 | Company: Lycan Motorcycles, Inc. (“Lycan,” “we,” “us,” “our”)

These Terms govern participation in Lycan’s Referral & Rewards Program (the “Program”), including the Zero Down + Commissions initiative. By enrolling, generating a code/link, sharing content, or claiming rewards, you (“Referrer,” “you”) agree to these Terms, our Terms of Use, Privacy Policy, Financing & Payment Terms, Shipping & Delivery Policy, and Warranty, Returns & Refunds Policy. If there’s a conflict, a signed order/reservation agreement for a specific transaction prevails.


1) Definitions

  • Referrer – An eligible individual or entity enrolled in the Program with a unique referral code and/or tracking link.

  • Referred Customer – A new customer who (a) uses the Referrer’s code/link and (b) completes a Qualifying Action.

  • Qualifying Action – As specified in Section 5 (e.g., paid reservation, completed purchase with full payment/financing disbursed and unit delivered).

  • Commission – The reward payable to a Referrer for a Qualifying Action, calculated per Section 6.

  • Second-degree Referral – A referral from a customer who was originally referred by the Referrer

  • Territory/Dealer – An authorized Lycan territory partner or dealership that may facilitate sales and payouts subject to these Terms.


2) Eligibility & Enrollment

2.1 Who can join. Philippine residents aged 18+ with a valid TIN and a Philippine bank/e-wallet account. Corporate participants must be legally registered and authorized.


2.2 KYC/Compliance. We may require identity verification, tax and bank details, and additional documents before activating codes or releasing payouts.


2.3 Exclusions. Lycan employees and dealers may have separate programs; participation here may be restricted or superseded by those agreements.


3) How the Program Works

3.1 Your code/link. After enrollment, you’ll receive a unique referral code and tracking link to share.


3.2 Attribution (online). Attribution uses the tracking link, cookies, and the code entered at checkout or in the reservation/purchase form.


3.3 Attribution (in-store). The Referred Customer must present your code at the dealership before invoice creation; late claims may be rejected.


3.4 One referrer per order. If multiple codes/links are used, attribution follows Section 


4) Attribution Rules & Disputes

4.1 Last valid touch within window. Unless otherwise stated, attribution is to the last valid referral touch within [30] days of first click/code use.


4.2 Conflicts. If two codes are used, the most recent valid code before checkout/invoice applies.


4.3 Dealer claims. If a dealer and an external Referrer both claim credit, priority goes to the code on the customer’s order.


4.4 Disputes. Lycan’s records (CRM, cart logs, POS) are final. Lycan may request proof (screenshots, message timestamps). Our determination is at our sole discretion.


5) Qualifying Actions (choose those you’ll enable)

A Referred Customer must be new to Lycan (no prior paid orders). Qualifying Actions are:

  • QA-R (Reservation): Customer pays a Reservation Fee linked to your code/link. (Reservation is refundable per Refund Policy; see payout logic in Section 6.2.)


  • QA-P (Purchase – Cash): Customer pays the full invoice and the unit is delivered/picked up.


  • QA-F (Purchase – Financing): The financing is disbursed (to Lycan or customer, as applicable), any required lien paperwork is completed, and the unit is delivered/picked up.

Note: Orders canceled before unit delivery are not Qualifying Actions. Reservations later refunded remain QA-R only if you choose to pay for reservations (see Section 6.2); otherwise they are not payable.


6) Rewards & Payouts

6.1 Direct referral commission (QA-P / QA-F). For each Qualifying Action QA-P or QA-F, you earn a percentage or fixed amount of the Net Invoice (unit + Lycan accessories; excl. fees, taxes, discounts, third-party add-ons). See latest commission rates at lycan.com.ph/refer


6.2 Reservation bonus (QA-R). For paid reservations tied to your code, you earn 10% per valid reservation. If the reservation is refunded, Lycan may claw back or offset the reservation bonus against future payouts.


6.3 Second-degree share. If you enable a small “team” effect: for each Qualifying Action by a customer originally referred by your direct Referred Customer, you earn a percentage of the Direct commission as a Second-degree share. Limit to one level (no multi-level trees).


6.4 Payout timing. Commissions are accrued when the Qualifying Action is recorded and become payable after 15 days (cool-off for chargebacks/admin).


6.5 Minimum payout & schedule. Payouts occur monthly once your payable balance reaches ₱5,000; smaller balances roll over. Emergency/manual payouts are at Lycan’s discretion.


6.6 Taxes & withholdings. Commissions are taxable income. Lycan may apply withholding and issue appropriate BIR forms (e.g., 2307). You’re responsible for filing/reporting your income and any required business registration.


6.7 Caps & adjustments. Lycan may set caps per Referrer/month or per model/campaign. Pricing changes, discounts, and bundles may adjust commission amounts.


7) Prohibited Conduct (Zero-tolerance)

You must not:


  • Misrepresent product features, safety, financing approvals, monthly payment amounts, or warranty.

  • Offer cash kickbacks or unapproved incentives to customers.

  • Bid on Lycan trademarks, create fake social accounts, or impersonate Lycan staff.

  • Spam (unsolicited bulk messages), post misleading ads, or violate platform rules or laws.

  • Use prohibited claims (e.g., “bank guaranteed approval,” “free vehicle,” “lifetime free service” unless Lycan has formally announced such offers).

  • Infringe third-party IP or use non-approved brand assets.


Violations may cause immediate termination, forfeiture of unpaid commissions, and potential legal action.


8) Content & Brand Use

8.1 Brand assets. Use only official logos, images, and claims provided in Lycan’s Brand Kit or by authorized channels.


8.2 Edits/overlays. Do not alter safety labels, legal disclaimers, or fine print.


8.3 Disclosures. Clearly disclose that you may receive a commission (“#LycanPartner,” “#LycanReferral”) as required by platform and advertising rules.


9) Cancellations, Returns, Chargebacks

  • If a purchase is canceled before delivery, no commission is due.

  • If a delivered unit is later returned or unwound under a special remedy, Lycan may reverse or claw back the commission.

  • Chargebacks or fraud cause the related commissions to be reversed.


10) Territory & Dealer Interactions

  • The Program operates nationwide where Lycan sells. Some territories/dealers may offer local spiffs; those do not stack unless Lycan confirms in writing.

  • For in-store purchases, the code on the order controls attribution.

  • Dealer-employee referrals are governed by dealer HR or separate dealer programs.


11) Account Management & Termination

11.1 Account standing. Keep your email, phone, and bank/e-wallet details current. Accounts inactive for 180 days may be paused.


11.2 Suspension/termination. We may suspend or terminate your account for suspected fraud, prohibited conduct, or inactivity.


11.3 After termination. Unpaid valid commissions accrued before termination remain payable (subject to Section 6.4, Section 9) unless terminated for cause.


12) Privacy & Communications

We process your data per our Privacy Policy. By joining, you consent to Program-related communications (email/SMS/app). You can opt out of marketing messages without affecting essential Program notices.


13) Changes to the Program

We may modify or end the Program, commission rates, attribution windows, or eligibility on notice posted to our site or sent by email/app. Changes apply prospectively. Transactions already a Qualifying Action prior to the effective date follow the old rates/rules.


14) Warranties & Liability

The Program is provided “as is” and “as available.” We do not guarantee earnings, lead volume, or approval rates. To the fullest extent allowed by law, Lycan is not liable for indirect or consequential damages. Where liability cannot be excluded, our aggregate liability is limited to ₱50,000 or the commissions paid to you in the preceding 12 months, whichever is higher.


15) Governing Law & Venue

Philippine law governs. Venue is Quezon City, Philippines. Parties will attempt good-faith resolution before filing any action.
