Who we are: Lycan Group, including but not limited to Lycan Motorcycles, Inc., Lycan Holdings Corporation, Lycan New Energy and Technologies, Inc. (“Lycan,” “we,” “us,” “our”)

These Terms of Use (“Terms”) govern your access to and use of Lycan’s websites, apps, online services, and any content or features we provide (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy

and Cookie Policy.

If you do not agree, do not use the Services.

We operate primarily under Philippine law, including the Data Privacy Act (RA 10173), E-Commerce Act (RA 8792), and the Consumer Act (RA 7394).

1) Eligibility & account registration

1.1 Eligibility. You must be at least the age of majority in your jurisdiction and capable of forming a binding contract.

1.2 Accounts. Some features require an account. You agree to provide accurate information, keep your credentials secure, and notify us of unauthorized use. You are responsible for all activities under your account.

1.3 Business users. If you use the Services on behalf of a company (e.g., a dealership), you represent that you have authority to bind that entity, and “you” includes the entity.

2) Orders, reservations, and payments

2.1 Availability & pricing. Products, features, specs, and prices are subject to change without notice. Displayed prices may exclude taxes, government fees, shipping, or installation unless stated otherwise.

2.2 Orders & acceptance. Submitting an order or reservation is an offer to buy; we may accept or reject at our discretion (e.g., due to availability, errors, or suspected fraud). We will confirm acceptance via email or in-app notice.

2.3 Payment processing. Payments are handled by third-party processors. By submitting payment details, you authorize the processor and your bank to complete the transaction.

2.4 Delivery & risk of loss. Delivery timelines are estimates. Risk of loss passes per our Shipping & Delivery Policy.

2.5 Returns & refunds. Returns, exchanges, and refunds are governed by our Returns/Refunds Policy.

2.6 Product warranty. Product coverage, exclusions, and claims are governed by our Warranty Policy.

Nothing in these Terms modifies those policy terms.

3) Financing assistance (bank personal-loan model)

3.1 Not a lender. Lycan is not a bank or lender. At your request, we may collect and transmit your financing information to the banks/financiers you choose. Credit decisions are made solely by those banks.

3.2 No guarantees. Pre-qualification, approvals, rates, and funding timelines are not guaranteed.

3.3 Disbursement instructions. If a bank deposits loan proceeds directly to Lycan to pay for your order, you authorize that arrangement. Any shortfalls, fees, or cancellations are your responsibility under your loan agreement.

3.4 Your data. Financing-related data is handled per our Privacy Policy

and applicable bank policies.

4) Connected products, telematics & safety

4.1 Do not use while riding. Do not interact with apps, screens, or connected features in a way that distracts you from safely operating a vehicle.

4.2 Local compliance. You are responsible for complying with applicable licensing, registration, roadworthiness, and use regulations.

4.3 Updates. We may provide software/firmware updates (including security, performance, or feature changes). Some updates may be required for continued use.

4.4 Data usage. Use of connected features may require data connectivity and may generate telemetry (see Privacy Policy). Features may vary by model, region, or network conditions.

5) User content & community rules

5.1 Your content. You may submit reviews, images, comments, or other content (“User Content”). You are solely responsible for your User Content and you represent that you own it or have rights to share it.

5.2 License to Lycan. You grant Lycan a worldwide, non-exclusive, royalty-free license to host, store, reproduce, publish, display, and distribute your User Content in connection with the Services and Lycan’s marketing (with the right to sublicense to service providers) for as long as the content is available on the Services or our official channels.

5.3 Prohibited content. Do not post content that is illegal, infringing, deceptive, defamatory, obscene, hateful, harassing, or that violates privacy or IP rights. We may remove or moderate User Content at our discretion.

5.4 Feedback. If you send ideas or suggestions, you grant Lycan a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.

6) Acceptable use

You agree not to: (a) misuse the Services; (b) probe, scan, or test vulnerabilities; (c) circumvent security or access controls; (d) use bots/scrapers except as allowed by robots.txt; (e) interfere with others’ use; (f) submit false orders or fraudulent claims; or (g) use the Services in violation of law.

7) Intellectual property

7.1 Ownership. The Services, including text, graphics, logos, product images, videos, software, and documentation are owned by Lycan or its licensors and protected by IP laws.

7.2 Limited license. Lycan grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal or authorized business use, subject to these Terms.

7.3 No implied rights. Except for the limited license above, no rights are granted by implication or otherwise.

7.4 Trademarks. “Lycan,” “Challenge the Norm,” and associated marks are trademarks of Lycan. Do not use our marks without written permission, except for nominative fair use.

8) Third-party services & links

The Services may link to or integrate third-party websites, apps, or services (including banks, payment processors, logistics providers, and analytics). Use of third-party services is at your discretion and governed by their terms and privacy policies. Lycan is not responsible for third-party content or practices.

9) Privacy, cookies & data protection

Your use of the Services is subject to our Privacy Policy and Cookie Policy, which explain how we collect, use, share, and protect personal data, and describe your rights under the Data Privacy Act and other applicable laws. Manage cookies via our consent tool.

10) Disclaimers

10.1 Site and informational content. The Services and all content made available through them are provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement.

10.2 Product documentation. Product descriptions, images, and specifications are for general information and may differ from actual production units due to improvements or regional variations.

10.3 No professional advice. Information on financing, legal, regulatory, or technical matters is for general guidance only and not a substitute for professional advice from qualified advisers or your bank.

10.4 Consumer rights. Nothing in these Terms excludes warranties or rights that cannot be excluded under applicable consumer laws.

11) Limitation of liability

To the fullest extent permitted by law, Lycan (and our directors, officers, employees, and agents) will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; or any loss of profits, revenues, goodwill, data, or business interruption arising out of or related to the Services or these Terms, even if advised of the possibility.

Where liability cannot be excluded, Lycan’s total aggregate liability for all claims relating to the Services in any twelve-month period will not exceed the greater of (a) the amount you paid to Lycan for the Service giving rise to the claim during that period, or (b) PHP 50,000.

These limits do not apply to liability caused by Lycan’s willful misconduct or fraud, or any other liability that cannot be limited under applicable law.

12) Indemnification

You agree to indemnify and hold harmless Lycan from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your: (a) use of the Services; (b) violation of these Terms; (c) User Content; or (d) violation of law or third-party rights.

13) Suspension & termination

We may suspend or terminate your access to the Services (in whole or in part) at any time if we reasonably believe you violated these Terms, risk harm to the Services or users, or for operational/security reasons. You may stop using the Services at any time. Sections that by their nature should survive (e.g., IP, disclaimers, limitations, indemnity, governing law) will survive termination.

14) Changes to the Services or Terms

We may modify or discontinue the Services, and we may update these Terms from time to time. Material changes will be posted with a new Effective date. Your continued use after changes become effective constitutes acceptance.

15) Governing law & disputes

15.1 Governing law. These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws rules.

15.2 Venue. You agree to the exclusive jurisdiction of the courts of [Quezon City/Manila], Philippines.

15.3 Good-faith resolution. Before filing suit, the parties will attempt in good faith to resolve disputes within 30 days after written notice.

15.4 Optional arbitration. Disputes not resolved may be referred by mutual agreement to confidential arbitration under the Arbitration Law/ADR Act (RA 9285) and the rules of PDRCI, seated in Quezon City, Philippines, with one arbitrator, English language. Judgment on the award may be entered in any court having jurisdiction.

17) Miscellaneous

17.1 Entire agreement. These Terms (plus policies referenced) are the entire agreement between you and Lycan regarding the Services.

17.2 Severability. If any provision is found invalid or unenforceable, it will be enforced to the maximum extent permitted and the remainder will remain in effect.

17.3 No waiver. Failure to enforce any right is not a waiver.

17.4 Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or asset transfer.

17.5 Force majeure. We are not liable for delays or failures due to events beyond our reasonable control (e.g., acts of God, power failures, network outages, labor disputes, regulatory actions).
